Com Exception was unhandled

I am trying to refer VC++ Dll in VB.net application ,I am getting following error while debugging code.

Error :
Creating an instance of the COM component with CLSID {376B4103-911F-11D1-8F11-00AA002FFC32} from the IClassFactory failed due to the following error: 800411a1.
