Import active x control to .net assembly

Help....can anyone show me how to import an active .ocx
into a .net assembly so I can use it on asp.net? I've read
about a import function call Aximp.exe but can't seem to
find it anywhere. I am not using Vs.net....just a die hard
notepad user via Ultraedit! thanks!

It's located in the %FrameworkSDKDi r%\Bin directory.
