how to format 32 gb USB which is not opening and not formating normally?

usb: 32 gb
problem: if i try to open the usb system displays a dialog box as format the drive
then if i start to do formst the pen drive it is not displaying the filesystem
and the allocation unit size
even then it is not performing the formating work

ihave done format using the "HP USB Disk Storage Format Tool" here it displays as "the volume is too big"

What operating system?

Have you confirmed that your computer has the latest drivers?

the OS is windows XP
i conformed with the computers latest drivers by inserting anothet USB
it isworking normally

Inserting another USB drive does not confirm that you are using the latest drivers. You have checked with Microsoft, your computer manufacturer, and your mother board manufacturer that you have the latest drivers.

I believe your usb device is one of those cheap use and throw products available on the road side. Such devices should never be formatted and needs to be thrown away if there is any issues. One can easily find such a 32 Gb device for as low as 5$.
