Problem using .NET assembly from COM

Sorry to post to this again, but I sent this to the interop newsgroup
and haven't received any responses and it looks like this group gets a
little more traffic.

I have an application written in Visual C++ and am trying to load some
code written in C# as a COM object. The C++ code looks like:

CComPtr<IModuleHandler> handler;
HRESULT hr = handler.CoCreateInstance(CLSID_ModuleHandler);
if(SUCCEEDED(hr)) { ... }

But when it tries to create the new object I get a dialog box with the
following error:

MSCOREE.DLL load error (Error code = %X)

Two different copies of MSCOREE.DLL have been loaded.

First copy:
<Unknown>

Second copy:
C:\WINDOWS\Microsoft.NET\Framework\v.1.1.4322\msco rwks.dll

This is typically caused by having a registered MSCOREE.DLL that is
different from the one that is statically linked with the application.

I just tested this on a new machine that has never had the 1.0 framework
installed and get the same result, so it does not appear to be caused by
having multiple version of the framework available.

Does anyone have an idea what is causing this problem and how I can fix it?
