InstallUtil failed on Production Server

OS: Win2K3 .NET framework 1.1
Hello,
I am migrating MCMS from Win2K to Win2K3 and I am facing some
challenges.
I am using exception handling using MS Exception blocks
To set it up I am calling this script
---------------------------------------
c:\WINDOWS\Microsoft.NET\Framework\v1.1.4322\insta llutil.exe
d:\Project\MyProject\bin\Microsoft.ApplicationBloc ks.ExceptionManagement.dll
---------------------------------------
This script fails saying
---------------------------------------
System.UnauthorizedAccessException: Access to the path
"d:\Project\MyProject\bin\microsoft.applicationblo cks.exceptionmanagement.InstallLog"
is denied.
---------------------------------------
I have given full permission to ASPNET on this directory. IIS 6 App
pool is running with ASPNET as the identity
I don't have Visual Studio installed on this machine. On my dev box I
ran this script from VS.NET command prompt (that's the difference)

Please advice what I need to do
