two copies of mscoree.dll loaded

I'm having strange problems with mscoree.dll when trying to open any windows forms, or even create new ones. Apparently VS.NET 2003 uses mscoree.dll to load the forms into the designer. A few days ago I began to get this error pop-up each time I tried to open my forms for further development. The error says that there are two versions of MSCOREE.DLL loaded. There is no error number, only this: (Error number = %X). The error message says that copy one is "<unknown>" and copy two is listed as v1.1.4322 (i.e., C:\WINNT\Microsoft.NET\Framework\v1.1.4322)

Has anyone out there experienced anything similar? What did you do to fix it

I tried the following: uninstall most recent software installations, reinstall them, uninstall VS.NET 2003, reinstall it, format HDD and reinstall XP Pro and all apps. Nothing here worked. So I'm stumped
