You must create a new class library, compile it, and reference the created .dll in both projects.

Luk3r is right, you would need to put the class into a Class Library type of project so that you can reference it in both projects.

There are two ways that you can reference it using visual studio:
  • Compile the Class Library project and add a reference to the DLL generated after compiling to your two projects
  • Put all of the projects into one solution and add a reference to the Class Library project to your other two projects
