VSTO 2005/Excel 2003 created add-in for Excel not enlisted

Hallo,
I look for help with issue concerning vsto.
I have XP Pro SP3
VS 2005 Pro
MS Office 2003 Standard
and installed VSTO 2005 2nd edition
I suppose I should be able to create application level add-ins for Excel
I start a new project office 2003 Add-ins/Excel Add-in (I tried both c# and VB)
build it and run auto generated setup
-all as it is - without any changes in add-in or setup
it creates
"c:\Program Files\Default Company Name\ExcelAddIn1Setup\.."
with
ExcelAddIn1.dll
ExcelAddIn1.dll.manifest
it seems registry
HKEY_CURRENT_USER\Software\Classes\ CLSID\ ...
HKEY_CURRENT_USER\Software\Microsoft\Office\Excel\ Addins\ExcelAddIn1
are correct according microsoft notes at msdn

anyway when I start Excel I do not see ExcelAddIn1
enlisted in tools/add-ins
and when I navigate to
"c:\Program Files\Default Company Name\ExcelAddIn1Setup\.
or directly to bin/debug folder is raises that it is not correct add-in file
I suppose VSTO does not create xla but only dll
