Problem Re-scaling Labels Groupbox on a windows form

When my form loads I have 3 items perfectly aligned:
'_________________________________________________ _______ (Width,
Height)

Startup form name is "strForm" (w800, h570) Location(0, 0)
Picture Box control = "picBackGround" (w800, h570) Location
(picBackGround)
Group Box Control gbBox(w330, h256) Location (38, 72)

I have also written this code to rescale the Picturebox on form
resize.
The picture box is acting as my background image.

Resize form Proc:

picBackGround.SizeMode = PictureBoxSizeMode.StretchImage
picBackGround.Width = sender.width
picBackGround.Height = sender.height

My problem is that I cannot get my groupbox to scale correctly when I
resize the form. I'm sure this is easy to do but I just cannont
figure it out. I'm trying to make it so that the groupbox rescales
when the form does and and maintains it's top right position, so that
the group box does not appear as if it is floating around in the
background.

Any help would be greatly appreciated,
