Circular reference in VB.Net 2005 Out Of Memory

I have this huge project that used to work great in VS.Net 2003...
Since I've upgraded to 2005 about 6 months ago, I can't do anything without the "Out Of Memory" error popping up...
I've been working for the last 6 months with Microsoft on this issue...
Seems to be a dead end..
They say that my problem is the circular references in my project...
Yet, it used to work great in 2003...
The "Out Of Memory" error is mathematicaly impossible..
I have 4 Gigs of RAM..
System has RAID 10 on 4 drives...
Intel Pentium Extreme Edition 955 - 3.46 GHz ( 1066MHz ) -
2MB x 2(4MB total) L2 Cache - 65nm

Can someone PLEASE help me out?
