managed wrapper to native code.. code from 2003 does not work in 2005?

Hi,

i'm in the process of converting code from VS2003 to VS2005 but have run in
to a (i hope small) problem..

we have a native C++ dll, and for c# clients we have a managed c++ dll
which creates managed proxies (or a wrapper) for the
unmanaged elements.. this managed c++ dll, has Proxy factory which looks
somehing like

public __gc class ProxyFactory
{
public:
static IElement* Create(Element *element)
{
return new ElementProxy(element)
}
};

where IElement is a managed interface/class (__gc) and the Element is a
navtive (unmanaged) instance of a Element.

But when i compile a other managed c++ dll.. i get the error C3767:
ProxyFactory::Create': candidate function(s) not accessible ....

this code compiles ok with 2003..

any idea's what can cuase this ?
