VB Dll will not work when compiled in .net

I use a dll to access functions from my VB 6 applications. When I compile the
dll using VC++ 6.0, no problem. When I compile via VC++ 2003 .net, my
application indicates it cannot find the dll, although it is where it is
supposed to be. I have compared what settings I can between the two compilers
but haven't found the right combination to make it work. I use a .def file
for exporting the functions. I have run dumpbin.exe /exports and these match.
Thanks for any help you can provide.
