calling managed DLL from VC++

We have a DLL built using VS.net 2003 (written in C++)
that uses the .net object DateTime. The DLL exports several
functions that we wrote to do date and time offsets (AddYears,
AddMonths, etc). Calling this DLL from an exe written in C:

1) The C language app compiled under VC 6.0 and linking to
said DLL will run correctly when run on local hard drive if no
changes to .net security policies. Changing the security policy
for the network share causes the app to crash.

2) moving the app to a network share causes error "Failed to
initialize the application (error 0xC0000005)." Adjusting the
security policy for the said DLL does not fix this problem.

3) C language app compiled under VS.net 2003 and linking
to said DLL works correctly run locally, regardless of the
security policy settings for the network share.

4) moving app compiled as #3 above to network share causes
error "MSCOREE.DLL - Failed to delay load library urlmon.dll
(win32 error: 998)". changing the .net network security policy
does not change this error.

Any ideas?
