is code developed in c++.net able to be used by C#?

Hi, I am quite new about .NET framework and now working a research
project using VC++.net. I created a c++.net console application and
began to develop my own classes and algorithms with standard C++
language. Sometimes "template" feature is also used.

But recently, our project manager emphasized that our codes should
base on the .NET platform. I have checked the "platform" contribution
in the "configuration manager" of build menu. Win32 is showned and
can't be changed. Then I generate a C# console application and the
platform is .NET.
Is there anybody who can explain the difference to me?

As I understand now about VC++.net:

1) Application created from vc++.net can use .net libraries and the
computer on which this application will run should have the .net
framework installed. But the platform is still Win32, not the .net and
the code is managed, not he unmanaged in old compliler such as in vc
6.

2) the old generic c++ code can be reused by compiling it in vc++.net
with parameter /SLR, but some managed/unmanaged code problem may
occur.

So, Does it mean that all the codes i have written in the vc++.net
environment (a console application .net with pointers and templiates),
is able to be used by other .net applications such C# or VB.net?? I
mean they can directly inherite classes in my code or not?

I would really appreciate if someone could give me a few hints. I
would be a annoying things if i have to rewrite it because it has more
than 10000 lines now.
