RegAsm error:... because it not a valid .net dll

I ran RegAsm.exe of .net framework 1.1 on .net dll
which crated in .net framework 2.0

The RegAsm.exe of .net framework 1.1 didn't recognized the .Net DLL
Which created on .net framework 2.0 (VS 2005 beta 1)

Is the difference version of the framework is a possible reason?
