net dll from vb6 on Win 2k vs WinXP?

With your help, I've gotten my .NET dll to work in my VB6 application. It
works just great on 2 PC's. Both these PC's happen to have WinXP.

The 3rd PC is a Win2K PC. I have my VB6 application correctly referencing
the .net .dll. I'm able to access the methods with intellisense and all!!!
But when I try to run my VB6 app i get "ActiveX component cannot create
object".

Any quick clues? the dll is registered fine.....is there any thing I'm
missing?
