CannotLoadManifestException in VS2005 beta

HI,
anyone know why i am recieiving this exception:
"A first chance exception of type
'Microsoft.VisualStudio.Tools.Applications.Runtime .CannotLoadManifestException' occurred in Microsoft.Office.Tools.Common.dll"

the code i am using is below and what i am trying to do is instantiate a
ServerDocument. The error occurs on that very line, where i try to create
the ServerDocument:

String original= "C:\\Projects\\Test\\original.dot";
String newdoc = "C:\\Projects\\Test\\new.dot";
System.IO.File.Copy( original, newdoc );

//get Cached Data/Data Islands
_serverDoc = new ServerDocument( newDoc );

any help would be greatly appreciated
