Regasm.exe file size is 0 - how to replace/recreate?

I am attempting to register an assembly on a server running Windows Server 2003. This dll was registered successfully on another server already using regasm.exe and cmdline (diff operating system). I attemted to use cmdline to complete the registration and received an "Access is denied" error with no other details.

I went into look at the directory of C:\WINNT\microsoft.net\framework\v2.0.50727 and can see a regasm.exe file there, but the file size is 0(zero). There is a regasm.exe.config file there with the normal items in it.

What is the proper way to replace the regasm.exe file? I have a regasm.exe file in the v1.1.4322 folder but suspect its slightly different? Help please. Websites on this server are running .NET objects/sites successfully. Not sure why this file is empty...?
