Why isn't this working!

I have a simple master page and it won't seem to work:

<%@ Master Language="C#" AutoEventWireup="true" CodeFile="z.master.cs"
Inherits="z" %>

<!DOCTYPE html PUBLIC "-//W3C//DTD XHTML 1.0 Transitional//EN" "http://
www.w3.org/TR/xhtml1/DTD/xhtml1-transitional.dtd">

<html xmlns="http://www.w3.org/1999/xhtml" >
<head runat="server">
<title>Untitled Page</title>
</head>
<body>
<form id="form1" runat="server">
<div>
<asp:Table runat="server" ID="tblMain" Width="100%"
Height="100" BorderWidth="0">
<asp:TableRow>
<asp:TableCell>
<div id="thediv">
<asp:contentplaceholder id="ContentPlaceHolder1"
runat="server">
</asp:contentplaceholder>
</div>
</asp:TableCell>
</asp:TableRow>
</asp:Table>
</div>
</form>
</body>
</html>
The content isn't viewable at design time. In addition, any page that
tries to use this master page is simple grey.

<%@ Page Language="C#" MasterPageFile="~/z.master"
AutoEventWireup="true" CodeFile="z.aspx.cs" Inherits="z"
Title="Untitled Page" %>
<asp:Content ID="Content1" ContentPlaceHolderID="ContentPlaceHolder1"
Runat="Server">
</asp:Content>

If I simply change the table WebControls, to simple html controls, it
works. Why is this the case?

I'm using c# 2.0 in Visual Studio 2005.

Thanks,
Dave
