Msaccess 97 out of memory

When I install Access 97 I get an error "out of memory, or....". I have no
such a problem with Access 2000. Why?

Most likely, you need the JET update:
http://support.microsoft.com/kb/161255

As for where to find it:

The Office 97 service pack is here:
