VB Program with Jet db engine - SQL2005 Express or rewrite in Access?

We have a finance program written in VB6 that uses Jet database engine.
Licensing is controlled by a third party tool called "protection
Plus", and it works great for securing number of copies and annual
license fees. We use InstallShield for creating installation setups.
Program facts
- Multiuser is about on average 5 users.
- Very low transaction processing
- a batch of many calculations performed once per day
- Ouptut results to Excel and or paper reports
We are considering rewriting this in Access and distributing We can
reuse large parts of the code logic. What are the pitfalls of doing it
this way? Any recommendations on other methods
